By accessing or using the CortexKai platform and services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

2. Description of Services

CortexKai provides an AI-powered healthcare workforce platform that deploys specialized agents for clinical and administrative workflows, including but not limited to medical coding, HCC surfacing, clinical documentation, scheduling, and billing automation. Our Services are designed to assist — not replace — licensed healthcare professionals.

3. User Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You agree to use the Services only for lawful purposes and in compliance with applicable healthcare regulations
• You acknowledge that AI-generated outputs require human review and clinical validation
• You are responsible for ensuring all use of the platform complies with your organization's policies

4. Clinical Disclaimer

CortexKai's AI agents provide suggestions and assistance only. All clinical decisions, diagnoses, treatment plans, and medical coding must be reviewed and approved by qualified healthcare professionals. CortexKai is not a substitute for professional medical judgment.

5. Intellectual Property

The Services, including all software, algorithms, designs, and documentation, are the intellectual property of CortexKai. You retain ownership of your data. By using the Services, you grant us a limited license to process your data solely for the purpose of providing the Services.

6. Data Processing and HIPAA

For customers who process Protected Health Information (PHI) through our platform, a Business Associate Agreement (BAA) is required and will be executed separately. Our data processing practices comply with HIPAA, HITECH, and applicable state privacy laws.

7. Limitation of Liability

To the maximum extent permitted by law, CortexKai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to clinical outcomes, coding accuracy, or revenue impacts.

8. Termination

Either party may terminate the agreement at any time with 30 days written notice. Upon termination, we will provide you with a reasonable opportunity to export your data. We reserve the right to suspend access immediately if we detect a violation of these terms.
